Terms of Service

Who you are contracting with
Elicira is a service published by augmente.io, a company established in Canada, available at elicira.com. Using the service means you accept these terms.
Paid subscriptions are sold by our merchant of record, who is the seller of the service in legal terms, takes payment, collects applicable taxes and issues your invoice. Their identity and country are available on request, and appear at checkout.
Access to the service
Elicira is in closed beta. Accounts are created by invitation, and we may decline or defer a request without stating a reason. During this phase the service changes, features may be altered or removed, and we do not guarantee continuous availability or freedom from defects.
Your account
- Accuracy,You provide accurate information and keep it up to date.
- Confidentiality,You are responsible for what is done with your account, and keep your credentials confidential.
- One account per person,An account is personal. Sharing credentials between people is not allowed, shared seats being the point of the Team plan.
Plans and quotas
Each plan allows a number of deliverables per period, stated on the Pricing page. A deliverable is one generated document: meeting prep, a user-story set, or a process model. These quotas are actually enforced: once reached, generation stops until the next period, while reading and export stay open.
A technical usage ceiling also applies, so that automated or abnormal use does not degrade the service. We warn you before enforcing it, absent obvious abuse.
Prices, taxes and payment
- Currency and tax,Prices are shown in US dollars and exclude tax. Applicable taxes, set by your country of residence, are added at checkout and appear on your invoice.
- Renewal,Subscriptions renew automatically, monthly or annually depending on the plan, until you cancel.
- Cancellation,You can cancel at any time. Cancellation takes effect at the end of the period you already paid for: you keep the service until then, and nothing is charged afterwards.
- Failed payment,If a charge fails, our merchant of record retries several times before the subscription ends. Your access is not cut off during those retries.
- Refunds,The terms are set out in our refund policy.
- Price changes,A price change never applies to a period already paid for, and you are told at least 30 days before the renewal concerned.
Your content and your deliverables
What you write in the service, and what the service produces for you, belongs to you. We acquire no ownership over your conversations, your documents or your deliverables.
You grant us only the technical rights needed to run the service: storing your content, displaying it, and sending it to our inference provider to produce an answer. That permission ends with your account.
Your content is not used to train an AI model, neither by us nor by our providers, according to the commitments they have given us. The details are in our privacy policy.
What generated deliverables are worth
Elicira is an assistant. It proposes, it does not decide. What it writes may contain errors, omissions, or plausible but false statements, including when it sounds confident.
You remain the professional author of what you hand to your clients or your organisation, and it is yours to review, correct and approve. The service is not legal, accounting or regulatory advice.
Acceptable use
You agree not to:
- Unlawful use,use the service for unlawful purposes, or on content you have no right to process;
- Circumvention,work around quotas, ceilings or access restrictions, including by creating multiple accounts;
- Resale,resell, redistribute or expose the service to third parties without our written agreement;
- Interference,attempt to disrupt it, extract its content at scale, or reach data that is not yours.
Suspension and closure
We may suspend or close an account for breach of these terms, non-payment, or use that endangers the service or its other users. Absent obvious abuse or a legal obligation to the contrary, we warn you and leave you the chance to retrieve your deliverables.
You can delete your account at any time from settings. Deletion is immediate and final.
Retention of your data
After a paid subscription ends, you keep reading and export of your deliverables for 30 days, without being able to produce new ones. Access is then closed, but your data is kept and you get it back if you subscribe again. The full periods, including those leading to deletion, are set out in our privacy policy, and no deletion happens without an email sent 30 days beforehand.
Availability and changes
The service is provided as is. We do not warrant that it will be available without interruption or free of defects. We may change features, and we warn you before removing any feature your use relies on.
Liability
To the extent permitted by law, our liability for the service is capped at the amounts you actually paid us over the twelve months before the event giving rise to the claim. We are not liable for indirect damages, in particular loss of business, opportunity or contract.
Nothing in these terms removes the rights the law gives you as a consumer, or our liability for gross negligence or wilful misconduct.
Changes to these terms
We may change these terms. Any substantial change is announced by email or in the service at least 30 days before it takes effect. If the change does not suit you, you can cancel before that date.
Governing law
These terms are governed by the law of the province of Quebec and applicable Canadian law. The competent courts are those of the district of Montreal, without prejudice to mandatory rules protecting consumers in their country of residence.
